- Content & Appearance License, Release, and Waiver Agreement

By uploading content to the Knoxxa Digital site, you grant Knoxxa Digital, and its affiliates (collectively, “Knoxxa Digital”) a non-exclusive, perpetual, worldwide, royalty-free license (the “License”) to use any video, photograph, voice, image, text, persona, likeness, name, and performance in any renderings taken by or of you (the “Content”). You waive any right of prior approval, releasing Knoxxa Digital from, and agreeing not to bring claims or proceedings against Knoxxa Digital for, any cause of action related to the use and exploitation of the Content (the “Release”).

Under this License, Knoxxa Digital may:

• Use and Modify Content: Repost, produce, modify, create derivative works of, and otherwise use the Content or derivatives thereof in any form or medium, including but not limited to marketing and promotional activities.
• Display and Distribute: Publicly display, distribute, transmit, or broadcast the Content by any means in any digital format, both now existing or developed in the future.
• Social Media Identification: Use your social media handle(s) to tag your Content in any Works created under this Agreement.

By entering into this Agreement, you represent and warrant that:

• This Agreement does not conflict with any contract by which you are bound;
• You will comply with all applicable laws and regulations;
• This Agreement does not create an agency or employment relationship with Knoxxa Digital;
• You are at least 18 years of age and competent to enter into this Agreement;
• You possess all legal rights necessary to grant the License and Release set forth herein; and
• The Content is original and does not infringe on any copyright, trademark, privacy, or other proprietary rights of any other person.

You consent to Knoxxa Digital’s collection, use, and sharing of any personal information contained in the Content, as well as your name and social media username(s). You also agree to comply with Knoxxa Digital’s Privacy Policy.

If any term of this Agreement is found to be invalid, illegal, or unenforceable, it shall be excluded to the extent of such invalidity, illegality, or unenforceability. The remaining terms shall remain in full force and effect.

This Agreement and any disputes arising from or related to it will be governed by and construed in accordance with the laws of the State of California, United States.
